These Terms of Use (“Terms”) govern your access to and use of elstonrisksolutions.com (the “Site”), operated by Elston LLC through its brand Elston Risk Solutions (“Elston,” “we,” “us,” or “our”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. The Site and Services

The public portions of the Site provide general information about Elston and its services. Access to the client portal is limited to authorized users and is governed additionally by the applicable client agreement. Where a client agreement conflicts with these Terms, the client agreement controls for that client’s use of the portal.

2. No professional advice

Content on the Site is provided for general informational purposes only. It does not constitute legal, regulatory, accounting, or investment advice, and it does not create a client or advisory relationship. You should consult qualified professionals before acting on any information found on the Site.

3. Acceptable use

You agree not to:

• Attempt to gain unauthorized access to the client portal, other accounts, or any systems or networks connected to the Site;
• Interfere with or disrupt the Site, including through malware, scraping at scale, or denial-of-service activity;
• Use the Site for any unlawful purpose or in violation of any applicable law or regulation;
• Misrepresent your identity or affiliation in connection with the Site.

4. Intellectual property

The Site and its content, including text, design, graphics, logos, and software, are owned by Elston LLC or its licensors and are protected by intellectual property laws. You may view and print Site content for your own internal business evaluation. Any other reproduction, distribution, or creation of derivative works requires our prior written consent. “Elston Risk Solutions” and associated marks are the property of Elston LLC.

5. Accounts and credentials

If you are issued portal credentials, you are responsible for maintaining their confidentiality and for all activity under your account. Notify us promptly of any suspected unauthorized use. We may suspend or terminate access at any time for security or compliance reasons.

6. Third-party links and services

The Site may reference or link to third-party sites or services. We do not control and are not responsible for third-party content, policies, or practices.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELSTON LLC AND ITS MEMBERS, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS, ARISING FROM OR RELATED TO YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THIS SECTION DOES NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, AND DOES NOT MODIFY ANY SIGNED CLIENT AGREEMENT.

9. Indemnification

You agree to indemnify and hold harmless Elston LLC from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms or misuse of the Site.

10. Governing law

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Fulton County, Georgia, and you consent to their jurisdiction.

11. Changes

We may revise these Terms at any time by posting an updated version with a new effective date. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
